11. Governing Law; Venue; Arbitration Overview

This Agreement and any dispute or claim relating to it or the Website (including non-contractual disputes or claims) are governed by the laws of the State of Michigan, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to this Agreement or the Website will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules then in effect, except as modified in this Agreement. The arbitration will take place in the State of Michigan or remotely by video conference, at the arbitrator’s discretion.

The arbitrator has exclusive authority to resolve disputes regarding the interpretation, applicability, enforceability, or formation of this Agreement. Judgment on the arbitration award may be entered in any court of competent jurisdiction. Each party will bear its own attorneys’ fees and costs and will share equally the arbitrator’s fees and AAA administrative costs, unless the arbitrator determines otherwise. You agree to waive any right to a jury trial or to participate in a class, collective, or representative action.

12. Additional Arbitration Terms

At LuciDerma’s sole discretion, we may require you to submit any disputes arising from or relating to this Agreement or your use of the Website—including disputes about interpretation, breach, invalidity, non-performance, or termination—to final and binding arbitration under the AAA Rules applying Michigan law.

13. Time Limit to Bring Claims

Any claim or cause of action arising out of or related to this Agreement or the Website must be filed within one (1) year after the claim accrues; otherwise, it is permanently barred.

14. Waiver and Severability

No waiver of any term or condition is a continuing waiver of such term or condition or a waiver of any other term or condition, and any failure to enforce a provision does not constitute a waiver. If any provision of this Agreement is held invalid, illegal, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions continue in full force and effect.

15. Entire Agreement
